There are 2 ways to try and unlock it if you don't know the passcode.
1) Connect your iPod to the computer set as the primary one in iTunes. Open the iTunes application, then disconnect your iPod from the computer, and it should no longer be locked.
Only use this next option as a last resort because it is a destructive process.
In this case pls check whether the Mp3 player is locked there will be switch on the Mp3 player which will say Lock or Unlock just slide it to the Opp side......

Check the owners manual for limitations on the external memory. Sometimes the MP3 player has a limit on external memory. Lets say 2 GB. Also make sure the lock switch is disengaged. Also try to reformat the player.
